不可抗力(ForceMajeure)是指買賣合同簽訂后,不是由當(dāng)事人的過失或疏忽,而是由于發(fā)生了當(dāng)事人不能預(yù)見、無法預(yù)防、無法克服的意外事故致使合同不能履行或不能如期履行,發(fā)生意外事故的一方可以全部或部分免除履行合同的責(zé)任或延遲履行合同。

不可抗力條款主要規(guī)定以下內(nèi)容:不可抗力事件的范圍,不可抗力事件的處理原則和方法,不可抗力事件發(fā)生后通知對(duì)方的期限和方式,以及出具相應(yīng)證明文件的機(jī)構(gòu)等。

例如:If the shipment of the contracted goods is prevented or delayed in whole or in part by reason of war,earthquake,flood, fire, storm, heavy snow or other causes of Force Ma- jeure, the Seller shall not be liable for non-shipment or late shipment of the goods of this contract. However the Seller shall notify the Buyer by cable or telex and furnish the latter within xX days by registered airmail with a certificate issued by the China Council for the Promotion of International Trade(ChinaChamber of International Commerce) attesting such events.如因戰(zhàn)爭(zhēng)、地震、水災(zāi)、火災(zāi)、暴風(fēng)雨、雪災(zāi)或其他不可抗力致使賣方不能全部或部分裝運(yùn)或延遲裝運(yùn)合同貨物,賣方對(duì)這種不能裝運(yùn)或延遲裝運(yùn)合同貨物不承擔(dān)責(zé)任。

但賣方須用電報(bào)或電傳通知買方,并須在XX天內(nèi)以航空掛號(hào)信件向買方提交由中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)(中國(guó)國(guó)際商會(huì))出具的證明此類事故的證明書。
